Welcome to Payper.
Throughout these Terms of Sale, Returns & Related Conditions (the “Terms”), “Payper,” “we,” “us,” and “our” refer to the entity operating the Payper® brand and this website (the “Site”).
These Terms govern the purchase and sale of tangible goods offered through the Site. By visiting the Site and/or purchasing any products, you agree to be bound by these Terms, together with any additional policies referenced herein.

ELIGIBILITY; USER REPRESENTATIONS
You represent and warrant that:
•    You are at least 18 years of age (or the age of legal majority in your jurisdiction);
•    You are legally capable of entering into binding contracts; and
•    All information you provide in connection with any purchase is accurate, current, and complete.
Payper sells products only for lawful personal or commercial use. Unauthorized resale or export is prohibited.

PRODUCTS AND AVAILABILITY
Payper offers workwear, apparel, footwear, accessories, bags, and related gear, including but not limited to:
•    Apparel (jackets, vests, sweatshirts, shirts, polos, t-shirts, trousers, shorts, thermal layers);
•    Accessories (belts, hats/berets, neck warmers, socks/thermal socks, traction accessories where offered);
•    Footwear and protective gear (work shoes/boots and related protective accessories); and
•    Bags and carry items (tool bags, travel bags, briefcases, and similar items).
All products are subject to availability and may be discontinued or modified at any time without notice.

ACCURACY OF INFORMATION; NO GUARANTEE OF EXACT MATCH
We make reasonable efforts to accurately describe and display products. However:
•    Colors may vary based on device or display settings;
•    Measurements and specifications are approximate; and
•    Product images are illustrative only.
Payper reserves the right to correct errors, inaccuracies, or omissions at any time, including after an order has been submitted.

ORDERS; OFFER AND ACCEPTANCE
By placing an order, you submit an offer to purchase products subject to these Terms. An order is not accepted until Payper:
•    Receives payment authorization; and
•    Confirms shipment or dispatch of the products.
Payper may, in its sole discretion:
•    Refuse or cancel any order;
•    Limit quantities per customer, household, or order; and
•    Reject orders suspected of fraud, abuse, or unauthorized resale.

PRICING; TAXES
All prices are listed in U.S. dollars and exclude applicable taxes and shipping charges unless expressly stated. Sales, use, or similar taxes are calculated at checkout based on the shipping destination and applicable law. Prices and promotions may change at any time without notice.

PAYMENT
Payments are processed through third-party payment processors. By submitting payment information, you authorize Payper to charge the total order amount. You are responsible for all charges incurred in connection with your purchase, including applicable taxes and shipping.

SHIPPING; TITLE; RISK OF LOSS
Shipping dates are estimates only. Unless otherwise required by applicable law:
•    Title and risk of loss pass to you upon delivery of the products to the carrier; and
•    Payper is not responsible for delays caused by carriers, customs, weather, labor disputes, or events beyond our reasonable control.
You are responsible for providing accurate shipping information. Additional charges may apply for incorrect or incomplete addresses.

USE OF PRODUCTS; SAFETY DISCLAIMER
Payper products are not medical devices or certified personal protective equipment unless expressly stated. You are responsible for:
•    Using products as intended; and
•    Complying with applicable safety regulations and workplace requirements.
To the fullest extent permitted by law, Payper makes no guarantees that products will prevent injury or damage.

DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PAYPER DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, EXCEPT TO THE EXTENT SUCH DISCLAIMERS ARE PROHIBITED BY LAW.
Some states do not allow limitations on implied warranties; in such cases, these disclaimers apply to the fullest extent permitted.

LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYPER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. PAYPER’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO A PURCHASE SHALL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

INDEMNIFICATION
You agree to indemnify and hold harmless Payper and its affiliates from any claims, damages, losses, or expenses arising from:
•    Your misuse of products;
•    Your violation of these Terms; or
•    Your violation of applicable law or third-party rights.
This obligation survives termination of these Terms.

ARBITRATION AGREEMENT
Any dispute or claim arising out of or relating to these Terms or any purchase shall be resolved by final and binding arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
•    Seat of arbitration: New York, New York
•    Governing law: Federal Arbitration Act
•    Single arbitrator
Payper will bear arbitration fees beyond the consumer filing fee, as required by AAA rules.
Public Injunctive Relief: nothing in this section waives your right to seek public injunctive relief where such waiver is prohibited by law. If this arbitration provision is found unenforceable in part, the remainder shall remain in effect.

CALIFORNIA RESIDENTS
If you are a California resident:
•    Nothing in these Terms limits rights under the California Consumer Legal Remedies Act or Unfair Competition Law.
•    Where legally permitted, you waive California Civil Code §1542; however, this waiver does not apply to statutory consumer remedies.

GOVERNING LAW
Except where prohibited by applicable law, these Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

MODIFICATIONS
Payper may update these Terms at any time by posting a revised version on the Site. Changes apply prospectively only.
